Description of the Mivo Platform, Participants and Business Model

1. Who Mivo Is

Mivo is a multifunctional digital marketplace platform operated by MivoApp LLC and an intermediary service provider within the meaning of Georgian law. Mivo creates a technological environment that connects Users, independent Partner Merchants and independent Partner Couriers.

2. What Mivo Does

Mivo enables Users to search for products or services that are actually available on the Platform, place Orders, make the applicable payment, and use delivery, Self-Pickup or Parcel services when the relevant function is active. Mivo manages the Platform’s technical processes, Order-related processes, Support processes and financial processes under its control.

3. User

A User is a person who uses Mivo to search for, order, pay for or receive a product or service, send a Parcel, or use another function that is actually available.

4. Partner Merchant

A Partner Merchant is an independent person or business that, on the basis of an active partnership with Mivo, offers its own products to Users. In the Food, Grocery, Pharmacy and Shopping modules, the seller of the product is the relevant Partner Merchant.

Mivo does not itself become the owner, manufacturer or seller of a product offered by a Partner Merchant merely because the Order is placed through the Mivo Platform.

5. Partner Courier

A Partner Courier is an independent person who, through Mivo’s technological Platform, receives delivery offers available to that Partner Courier. Mivo is not the employer of the Partner Courier, and the partnership does not, by itself, create an employment relationship.

6. Mivo Service Modules

• Food;

• Grocery;

• Pharmacy;

• Shopping;

• Parcel.

Not all modules or functions are necessarily active at the same time. A User may use only those services that are actually available to that User at the relevant time.

7. Payment and Settlement

The full amount paid by the User for an Order is credited to Mivo’s relevant account. The Partner Merchant grants Mivo only the limited authority necessary to receive the price of the relevant Order on the Partner Merchant’s behalf. Once the User has properly paid, the Partner Merchant has a claim against Mivo for the corresponding amount, and Mivo settles with the Partner Merchant in accordance with the partnership terms and the applicable weekly settlement cycle.

8. Principle of Responsibility

Mivo’s model is based on allocating responsibility according to the actual cause of the issue. The Partner Merchant is responsible for the product and the preparation process under its control; the Partner Courier is responsible for the actual transportation and handover under the Partner Courier’s control; and Mivo is responsible for the technological, administrative and financial processes under its control.

9. Prices and Information

The Partner Merchant independently sets the price of its products; however, the base price of the same product on Mivo must not exceed the base price charged by the same Partner Merchant at its corresponding physical location, except for agreed exceptions. Product information provided by the Partner Merchant must be accurate and must not be materially misleading.

10. What Mivo Offers Partner Couriers

Mivo gives independent Partner Couriers the technological ability to access delivery offers available to them through the Platform, accept a particular delivery and perform it in accordance with the applicable rules and partnership terms.

11. Supporting Local Commerce

Mivo aims to connect local Users, businesses and independent Partner Couriers within one technological environment and to simplify the digital ordering and delivery process.

12. Safety and Transparency

Mivo seeks to ensure that important information, prices, Order status, delivery conditions and relevant Support are easy for Users to understand. Unlawful products, fraud, misuse of personal data and other material violations are prohibited on the Platform.

13. Personal Data

Mivo processes personal data in accordance with applicable Georgian law and the Privacy Policy. Data is used only for the relevant service, security, payment, Support, legal and other lawfully defined purposes.

14. Development of Mivo

Mivo may develop the Platform gradually, add new functions, modify existing functionality, and activate or temporarily restrict services. Where necessary, the relevant legal and operational documents will also be updated.
